1. Introduction and Scope

1.1 Parties to the Agreement

These Terms of Service ("Agreement" or "Terms") are entered into between YAPL Platform Technologies ("YAPL", "we", "us", or "Platform") and the individual or legal entity using YAPL services ("User", "you", or "your").

Service Provider Information:

1.2 Acceptance of Terms

By accessing YAPL, creating an account, or using our services, you represent and warrant that:

  • You have read and understood these Terms,
  • You accept that these Terms are legally binding,
  • You agree to comply with these Terms,
  • You accept our Privacy Policy and Cookie Policy.

1.3 Eligibility

To use YAPL, you must:

  • Be at least 18 years old or have reached the age of majority in your country,
  • If acting on behalf of an organization, have the authority to enter into binding agreements on behalf of that organization,
  • Not have had your use of YAPL services previously suspended or terminated.

1.4 Corporate Users

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. In this case, "you" and "your" refer to that legal entity.


2. Definitions

The following terms used in this Agreement have the meanings set forth below:

DraftChanges stored locally that have not yet been synchronized with the server
MoR (Merchant of Record)Third-party payment provider that processes payments on our behalf (Lemon Squeezy)

3. Service Description

3.1 Platform Definition

YAPL is a cloud-based project management platform designed for the construction and building industry. The Platform is developed using Progressive Web Application (PWA) technology and is accessible through modern web browsers.

3.2 Core Features

YAPL offers the following core features:

  • Project Planning: Task creation, scheduling, dependency management
  • Resource Management: Team members, equipment, and material tracking
  • Work Scheduling: Gantt chart, critical path analysis, timeline views
  • Collaboration: Workspace sharing, role-based access control
  • Reporting: Project status, resource utilization, and progress reports
  • Cost Tracking: Budget planning and cost analysis (varies by subscription plan)

3.3 Access Methods

The Platform can be accessed through the following methods:

  • Web Browser: Chrome, Firefox, Safari, Edge (current versions)
  • Mobile Browser: iOS Chrome/Edge, Android Chrome/Edge (as PWA)
  • Desktop PWA: Installable application in supported browsers

Important: YAPL is not currently available in mobile app stores (App Store, Google Play). Mobile access is only available through web browser or PWA.

3.4 Offline Usage

The Platform offers limited offline usage capabilities:

  • Supported: Creating and editing drafts, browsing cached pages
  • Not Supported: Real-time synchronization, creating new projects, file uploads

Changes made offline are automatically synchronized when internet connection is restored. In case of synchronization conflicts, the most recent change is applied as priority, or the user is notified to make a selection.

3.5 API Access

YAPL does not currently offer external API access. All Platform functions are only available through the web interface.


4. Account Creation and Security

4.1 Account Requirements

To create a YAPL account, you must provide the following information:

  • A valid email address
  • A strong password (minimum 8 characters, must include at least one uppercase letter, one lowercase letter, and one number)
  • First and last name (or organization name)

4.2 Account Verification

You must verify your email address to activate your account. Unverified accounts may have limited functionality or may be automatically deleted after a certain period.

4.3 Your Account Security Obligations

You are responsible for your account security. In this regard:

  • You must keep your password confidential and not share it with third parties
  • You must notify us immediately upon detecting unauthorized access to your account
  • You are responsible for all activities conducted through your account
  • It is recommended that you change your password regularly
  • It is recommended that you do not use the same password for other services

4.4 Multiple User Accounts

An individual may create multiple YAPL accounts, however:

  • Each account must be associated with a different email address
  • Creating multiple accounts to circumvent service limitations is prohibited
  • Creating new accounts to reuse the free trial period is prohibited

4.5 Accuracy of Account Information

You are obligated to keep your account information current. Specifically:

  • You must update when your email address changes
  • You must keep your billing information accurate
  • You must update when your organization information changes

If you fail to receive important notifications due to outdated contact information, the responsibility lies with you.


5. Subscription Plans and Payments

5.1 Subscription Options

YAPL offers the following subscription plans:

Annual Discount: Annual subscriptions are calculated based on 10 months instead of 12 months (approximately 17% discount).

5.2 Currency and Pricing

  • All prices are in US Dollars (USD)
  • Prices do not include taxes
  • VAT or sales tax may be added depending on your country
  • Currency conversion is performed by the payment provider (Lemon Squeezy)

5.3 Payment Processing

Payment processing is handled by our authorized payment provider Lemon Squeezy Inc. Lemon Squeezy acts as the Merchant of Record for all transactions.

In this regard:

  • Invoices and receipts are issued by Lemon Squeezy
  • Your payment information (credit card, etc.) is not stored by YAPL
  • Tax calculation and collection is performed by Lemon Squeezy
  • Payment disputes are primarily resolved with Lemon Squeezy

5.4 Billing Cycle

  • Monthly Subscription: Billed each month on the date corresponding to when the subscription started
  • Annual Subscription: Billed each year on the date corresponding to when the subscription started
  • If the billing date falls on the last days of the month, it is adjusted to the nearest available day in shorter months

5.5 Payment Failure

If a payment fails:

5.6 Plan Upgrade

When you upgrade to a higher plan:

  • Immediate access to new features is provided
  • Prorated difference is calculated for the remaining portion of the current billing period
  • Additional charge is collected on the next billing date or immediately

5.7 Plan Downgrade

When you downgrade to a lower plan:

  • The change takes effect at the end of the current billing period
  • Current plan features remain available until the end of the period
  • 30 days are allowed to adjust data within new plan limits
  • If limit overages are not corrected, excess data is archived

Important Restrictions:

  • When downgrading to Basic plan, the ability to add extra seats is lost
  • Data export feature is only available on Professional plan; it is recommended to export your data before downgrading

5.8 Cancellation and Refunds

Cancellation:

  • You can cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • Service access continues until the end of the period

Refund Policy:

  • For annual subscriptions, you can request a full refund within 14 days of the purchase date
  • No partial period refunds are provided for monthly subscriptions
  • Refund requests should be sent to support@yapl.app
  • Refunds are processed to the original payment method within 5-10 business days

5.9 Price Changes

For price changes:

  • Email notification is provided at least 30 days in advance
  • Current subscriptions continue at the old price until the next renewal date
  • For annual subscriptions, the price is preserved throughout the current period
  • If you do not accept the price increase, you can cancel before renewal

6. Free Trial Period

6.1 Trial Conditions

  • Trial period is 14 calendar days
  • Credit card information is not required

Features Included in Trial:

  • Cost tracking
  • Gantt editing and viewing
  • Critical path analysis
  • Resource management
  • Maximum 10 seats
  • Maximum 1 project
  • Maximum 200 tasks per schedule

Features Not Included in Trial:

  • Data import/export
  • Adding extra seats
  • Creating multiple projects

6.2 Trial Expiration

When the trial period ends:

  • Your account is set to read-only mode
  • You can access your data but cannot make changes
  • You have 90 days to upgrade to a paid plan
  • After 90 days, data is permanently deleted

6.3 Trial Restrictions

  • Each user can benefit from the free trial only once
  • Creating new accounts to extend the trial period is prohibited
  • Data created during the trial period is preserved when upgrading to a paid plan

7. Acceptable Use Policy

7.1 Permitted Use

You may use YAPL for the following purposes:

  • Management of construction and building projects
  • Work scheduling and resource planning
  • Team collaboration and task tracking
  • Project reporting and analysis
  • Other legitimate commercial or personal project management activities

7.2 Prohibited Activities

You may not use YAPL for the following purposes:

Illegal Activities:

  • Activities that violate any law, regulation, or third-party rights
  • Fraud, identity theft, or deceptive practices
  • Money laundering or terrorist financing

Technical Abuse:

  • Attempts to bypass or circumvent Platform security measures
  • Gaining or attempting to gain unauthorized access
  • Uploading malicious software, viruses, or malicious code
  • Automated queries or bots that place excessive load on Platform infrastructure
  • Reverse engineering, decompiling, or extracting Platform source code

Content Restrictions:

  • Uploading illegal, obscene, or harmful content
  • Content that infringes on third-party intellectual property rights
  • Content containing hate speech, incitement to violence, or discrimination
  • Spam, unsolicited commercial communications, or chain messages

Commercial Restrictions:

  • Reselling or sublicensing the Platform to third parties
  • Using to develop services that compete with YAPL
  • Using multiple accounts to circumvent service limits

7.3 Resource Usage Limits

The following technical limits apply to ensure fair usage:

Note: Concurrent device limit refers to the number of devices that can have active sessions simultaneously. When you exceed the limit, the oldest session is automatically terminated.

Accounts that consistently exceed limits will be warned and may be restricted if necessary.

7.4 Violation Consequences

In case of violation of the acceptable use policy:

  1. First Violation: Written warning and request for correction
  2. Repeated Violation: Temporary account suspension (7-30 days)
  3. Serious Violation: Account may be permanently closed
  4. Illegal Activity: Notification may be made to relevant authorities

8. Intellectual Property Rights

8.1 YAPL's Rights

The YAPL Platform and all related intellectual property rights belong to YAPL Platform Technologies:

  • Platform software, source code, and algorithms
  • User interface design and visual elements
  • YAPL brand, logo, and trade dress
  • Documentation, training materials, and content
  • Patents, trademarks, and copyrights

8.2 Limited License

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform in accordance with these Terms. This license:

  • Is only for personal or internal commercial use
  • Cannot be sublicensed or transferred
  • Automatically terminates upon termination of these Terms

8.3 Restrictions

The following are prohibited without express written permission:

  • Copying, modifying, or creating derivative works of any part of the Platform
  • Reverse engineering, decompiling, or extracting Platform source code
  • Renting, lending, or commercially distributing the Platform
  • Using YAPL trademarks or logos without permission
  • Removing copyright notices or other proprietary markings

8.4 Feedback

If you provide feedback, suggestions, or improvement ideas about the Platform:

  • You grant us the right to use this feedback for any purpose
  • You cannot claim royalties or compensation for feedback
  • We have no obligation to treat feedback as confidential information

9. User Content and Data

9.1 Ownership

All ownership rights to User Content that you upload, create, or transmit to the Platform remain with you. YAPL does not claim ownership rights to your User Content.

9.2 License Grant

By uploading your User Content to the Platform, you grant YAPL a limited license for the following purposes:

  • Processing, storing, and displaying content to provide the service to you
  • Backup and disaster recovery operations
  • Creating anonymous, aggregate statistics to improve service quality
  • Compliance with legal obligations

This license:

  • Is non-exclusive
  • Is royalty-free
  • Is worldwide
  • Continues until your subscription ends and your data is deleted

9.3 Content Responsibility

You are solely responsible for your User Content:

  • Accuracy and legality of content
  • Non-infringement of third-party rights
  • Backup of content (although YAPL provides backup)
  • Protection of confidential or sensitive information

9.4 Content Monitoring

YAPL does not actively monitor User Content. However:

  • Reports of illegal content are evaluated
  • Serious policy violations may be investigated
  • Content may be accessed under legal obligation
  • Automatic scanning may be performed for spam or abuse

9.5 Data Export

Professional Plan Users:

  • You can export your data in CSV, Excel (.xlsx), PDF, and Markdown formats
  • Bulk data download feature is available
  • You can perform full data export before account closure

Basic Plan and Trial Users:

  • Data import/export feature is not available
  • You can acquire this feature by upgrading to Professional plan
  • It is recommended to upgrade to Professional plan to export your data before plan downgrade or account closure

10. Data Retention Policy

10.1 During Active Subscription

All your data is stored indefinitely and kept accessible during your active subscription.

10.2 Archived Project Retention

When you archive a project, the recoverable retention period varies by subscription type:

10.3 Deleted Items (Trash)

10.5 Subscription Expiration

10.6 Plan Downgrade

When you downgrade to a lower plan:

  • 30 days are allowed to adjust data within new plan limits
  • Projects exceeding limits must be archived or deleted before downgrade completes
  • Archived project retention period is updated according to new plan's limit
  • Activity logs may be trimmed according to new plan's retention period

10.7 Legally Required Retention

Certain data is retained for legal compliance regardless of subscription status:

10.8 Right to Deletion

You can request deletion of your data at any time:

  1. Self-service: Settings > Account > Delete Account
  2. Support: Email to privacy@yapl.app

Processing Time: Deletion requests are processed within 30 days. Data required for legal compliance as specified in Section 10.7 is excluded.


11. Privacy and Personal Data

11.1 Privacy Policy

11.2 Data Processing Role

Regarding personal data, YAPL acts as:

  • For its own services: Data Controller (KVKK) / Data Controller (GDPR)
  • For User Content: Data Processor (KVKK) / Data Processor (GDPR)

11.3 International Data Transfer

Your data may be processed in the following locations for service provision:

  • Turkey: Primary processing
  • United States: Supabase (database), Vercel (hosting)
  • European Union: Backup and CDN

By using YAPL services, you are deemed to have given explicit consent to the transfer of your data to the countries specified above.

All international transfers are conducted with safeguards compliant with KVKK and GDPR requirements.

11.4 Security Measures

Measures implemented to protect your data:

  • Encrypted communication with TLS 1.3
  • Data at rest encryption with AES-256
  • Regular security audits and penetration testing
  • Access control and authorization management
  • Automatic backup and disaster recovery

12. Third-Party Services

12.1 Integrated Services

12.2 Liability

YAPL does not guarantee:

  • Uninterrupted operation of third-party services
  • Privacy practices of third-party services
  • Policy changes of third-party services

YAPL cannot be held responsible for disruptions caused by third-party service interruptions.

12.3 Cookies and Tracking

13. Service Level and Availability

13.1 Availability Target

YAPL aims for the Platform to be accessible 99.5% of the year. This target:

  • Excludes planned maintenance periods
  • Excludes third-party interruptions
  • Is a target, not a guarantee

13.2 Planned Maintenance

  • Maintenance work is announced in advance (at least 24 hours)
  • Conducted during low-traffic hours when possible
  • Service may be partially or completely inaccessible during maintenance

13.3 Emergency Maintenance

Emergency maintenance may be required for security vulnerabilities or critical bugs:

  • Advance notification may not be provided
  • Completed as quickly as possible
  • Information is provided afterward

13.4 Service Interruption Notification

For unplanned interruptions:

  • Status page is updated (status.yapl.app)
  • Email notification is sent for extended interruptions
  • Announcements may be made on social media accounts

14. Disclaimer of Warranties

14.1 Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." YAPL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranty of merchantability
  • Warranty of fitness for a particular purpose
  • Warranty of uninterrupted or error-free operation
  • Warranty that data loss will not occur
  • Warranty that security breaches will not occur

14.2 Not Professional Advice

YAPL provides a tool for project management but:

  • Does not substitute for professional engineering, architecture, or legal advice
  • Does not guarantee the accuracy of Platform outputs
  • Independent professional consultation should be obtained for critical decisions

14.3 Third-Party Content

We do not accept responsibility for third-party content or services accessed through the Platform.


15. Limitation of Liability

15.1 Liability Cap

YAPL'S TOTAL LIABILITY UNDER THIS AGREEMENT AND FOR ANY REASON SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID IN THE 12 MONTHS PRECEDING THE DATE THE DAMAGE OCCURRED.

For free trial users, the liability cap is $100 USD.

15.2 Excluded Damages

YAPL is not responsible under any circumstances for the following types of damages:

  • Indirect, incidental, special, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or data corruption
  • Loss of reputation or goodwill damage
  • Costs of obtaining substitute services
  • Damages arising from use or inability to use the Platform

15.3 Exceptions

The above liability limitations do not apply in the following cases:

  • Damages arising from YAPL's intentional misconduct or gross negligence
  • Cases where applicable laws prohibit limitation
  • Damages arising from unlawful processing of personal data

15.4 Assumption of Risk

By using the Platform, you are deemed to have accepted the risks inherent in internet-based services:

  • Risk of delay or interruption in data transmission
  • Risk of cyber attack or unauthorized access
  • Risk of third-party service interruptions

16. Indemnification

16.1 Indemnification Obligation

You agree to defend, indemnify, and hold harmless YAPL, its directors, employees, and representatives against any and all claims, lawsuits, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your violation of these Terms
  • Your User Content
  • Illegal or unauthorized use of the Platform
  • Violation of third-party rights
  • Your negligent or unlawful conduct

16.2 Right to Defense

YAPL reserves the right to assume exclusive control of the defense of any claim subject to indemnification. In such case, your reasonable cooperation is expected.


17. Account Suspension and Termination

17.1 Termination by User

You can close your account at any time:

  1. Settings > Account > Close Account
  2. Request via email: support@yapl.app

After termination:

  • Active subscription continues until end of period
  • Account is set to read-only mode at end of period
  • Data is permanently deleted after 90 days

17.2 Suspension by YAPL

YAPL may suspend your account without prior notice in the following cases:

  • Serious violation of these Terms
  • Suspicion of illegal activity
  • Payment failure (after 14 days)
  • Behavior threatening Platform security
  • Request from legal authorities

17.3 Termination by YAPL

YAPL may permanently close your account in the following cases:

  • Repeated Terms violations
  • Unrecoverable payment issues (90 days)
  • Detection of illegal activity
  • Court order or legal obligation

17.4 Termination Consequences

In case of account termination:

  • Your Platform access is immediately terminated
  • No refunds are provided for unused subscription periods (legal rights reserved)
  • Your data is deleted according to the policy in Section 10
  • Legally required data is retained

17.5 Surviving Provisions

Provisions that remain in effect after termination:

  • Intellectual property rights
  • Limitation of liability
  • Indemnification obligations
  • Dispute resolution
  • Confidentiality obligations

18. Force Majeure

18.1 Definition

Force majeure refers to unforeseeable events beyond the reasonable control of the parties:

  • Natural disasters (earthquake, flood, storm)
  • War, terrorism, civil unrest
  • Epidemic diseases (pandemic, epidemic)
  • Government actions, embargoes, sanctions
  • Infrastructure interruptions (electricity, internet)
  • Cyber attacks (DDoS, ransomware)
  • Third-party service provider interruptions

18.2 Effects

In case of force majeure:

  • Obligations of the affected party are suspended
  • No liability arises for delay or inability to perform
  • Obligations continue when force majeure ends

18.3 Notification

The party experiencing force majeure must notify the other party within a reasonable time.

18.4 Extended Force Majeure

If force majeure lasts more than 60 days, either party may terminate the Agreement. In this case:

  • Prorated refund is provided for unused prepaid period
  • Parties cannot claim compensation from each other

19. Modifications

19.1 Right to Modify

YAPL reserves the right to update these Terms from time to time. Changes may be made for the following reasons:

  • Compliance with legal requirements
  • Addition of new features or services
  • Security improvements
  • Policy updates

19.2 Notification

For significant changes:

  • Email notification is provided
  • In-platform announcement is displayed
  • Change summary is provided
  • Notification is provided at least 30 days before the effective date

Prior notification is not required for minor corrections (typos, clarifications).

19.3 Version Numbering

The scope of changes is indicated by version number:

19.4 Acceptance

Your continued use of the Platform after the effective date of changes means you accept the updated Terms.

If you do not accept the changes, you can close your account before the effective date.

20. Dispute Resolution

20.1 Amicable Resolution

In case of any dispute, amicable resolution methods will first be attempted:

  1. Support Request: support@yapl.app
  2. Formal Complaint: Written application to legal@yapl.app
  3. Response Time: Written response within 15 business days

20.2 Mandatory Mediation

For disputes that cannot be resolved amicably, mandatory mediation must be attempted before filing with the court:

  • Mediation is conducted by a mediator registered in Istanbul
  • Mediation period is maximum 4 weeks
  • Mediation costs are shared equally between the parties

20.3 Jurisdiction

For disputes that cannot be resolved through mediation:

  • Competent Court: Istanbul Courts and Enforcement Offices
  • Applicable Law: Laws of the Republic of Turkey

20.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that all disputes will be resolved individually and that you will not participate in any class action, collective action, or representative action.

20.5 Statute of Limitations

Claims under these Terms must be brought within 2 years from the date the event giving rise to the claim occurred. Claims are time-barred after this period.


21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the complete and entire agreement between the parties regarding your use of YAPL. They supersede all prior written or oral agreements, representations, and commitments.

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  • The provision in question is modified to the minimum extent necessary to be valid
  • Other provisions remain in full force and effect

21.3 Waiver

Failure to exercise or enforce any right or provision does not constitute a waiver of such right or provision. Waiver is only valid when made in writing and signed by an authorized representative.

21.4 Assignment

You may not assign your rights and obligations under this Agreement without YAPL's prior written consent. YAPL may assign this Agreement without any restriction.

21.5 Independent Parties

The parties are independent parties. This Agreement does not create a partnership, agency relationship, joint venture, or employment relationship between the parties.

21.6 Third-Party Rights

This Agreement does not confer any rights or benefits on persons other than the parties.

21.7 Headings

Section headings are for reference convenience only and are not considered in interpreting the Terms.

21.8 Language

The original language of these Terms is Turkish. In case of translation into other languages, if there is a conflict between the Turkish text and translations, the Turkish text shall prevail.
